Please carefully read these terms and conditions (these “Terms and Conditions”) before using this website, www.cryptotradeuniversity.com (the “Site”). CRYPTO CREW, LLC (“CRYPTO CREW,” “we” or “us”), a Colorado Limited Liability Company, is the owner of the Site. The Site contains information, including, without limitation, all text, graphics, photographs, graphs, sounds, data, images, audio, video, page headers, software (including HTML and other scripts), buttons, and other icons, and the arrangement and compilation of this information (collectively, the “Information”) that is either owned or licensed by CRYPTO CREW.
By accessing, purchasing a course(s), using or downloading materials from the Crypto Trade University Site, you thereby agree (a) that you have received, read and understood these Terms and Conditions, and that these Terms and Conditions create a valid and binding agreement, enforceable against you in accordance with the terms hereof, (b) to be bound by these Terms and Conditions, any terms, conditions or other rules, regulations or policies of CRYPTO CREW, as each may be amended or supplemented from time to time in our sole discretion without notice, and (c) that your use of the Site shall comply with all applicable federal, state and local laws, rules or regulations, and that you are solely responsible for your compliance with, familiarity with and understanding of any such laws, rules or regulations applicable to your use of the Site. If you do not agree with any term of provision of our Terms and Conditions you should not use our Site, Services, Content or Information. Please be advised that your continued use of the Site, Services, Content, or Information provided shall indicate your consent and agreement to our Terms and Conditions.
Crypto Trade University may publish testimonials or descriptions of past performance but these results are NOT typical, are not indicative of future results or performance, and are not intended to be a representation, warranty or guarantee that similar results will be obtained by you.
Steve Courtney’s experience with trading is not typical, nor is the experience of students featured in testimonials. They are experienced traders. Becoming an experienced trader takes hard work, dedication and a significant amount of time.
Your results may differ materially from those expressed or utilized by Crypto Trade University due to a number of factors. We do not track the typical results of our current or past students. As a provider of educational courses, we do not have access to the personal trading accounts or brokerage statements of our students.
Trading Bitcoin or any cryptocurrency is a high risk activity and can result in the loss of your entire investment. Any trade or investment is at your own risk.
Any and all information discussed is for educational and informational purposes only and should not be considered tax, legal or investment advice. A referral to a cryptocurrency is not an indication to buy or sell that cryptocurrency.
Additionally, and without limiting the foregoing, by using or accessing the Site, you represent and warrant to us that you: (a) are eighteen (18) years of age or older, (b) are not currently restricted from using the Site, or not otherwise prohibited from having an account with us, (c) are not a competitor of CRYPTO CREW, or engaged in any business or activity, directly or indirectly, that could be competitive with the business or activities of CRYPTO CREW, and are not using the Site for any reason that may be in competition with the Site or any other product or service offered by CRYPTO CREW, (d) have full power and authority to enter into and perform these Terms and Conditions, and doing so will not violate any other agreement to which you are a party, (e) will not violate any rights of CRYPTO CREW, including, without limitation, intellectual property rights such as patent, copyright or trademark rights, and (f) agree to provide, operate and maintain, at your sole risk, cost and expense, all equipment, software, and internet access necessary to use the Site.
You agree to abide by the following community guidelines:
- That the content, materials, services and other intellectual property contained or embodied in the Site are owned by CRYPTO CREW and are protected by patent, copyright, trademark and other similar laws;
- Not to promote, offer for sale or sell any product or service, including, without limitation, any financial or investment product, security or service, any contest or promotion, ICO, IEO, STO, projects, coins, or any other matter related to cryptocurrencies;
- Not to transmit, send or otherwise post unauthorized commercial communications (such as spam), or other similar materials or advertisements, using the Site;
- Not to access the Site using any automated means, including, without limitation, harvesting bots, robots, spiders, or scrapers;
- Not to engage in multi-level marketing using the Site, including, without limitation, pyramid schemes and similar marketing concepts;
- Not to upload, use or disseminate viruses or other malicious code or other abusive scripts or processes;
- Not to solicit login, account or other personal information of another person or request or obtain access to an account of another person;
- Not to bully, intimidate, or harass any person;
- Not to post content that is hateful, threatening, or pornographic, incites violence, or contains nudity, graphic material, gratuitous violence or anything else found to be objectionable by CRYPTO CREW in its sole discretion;
- Not to post content of a religious or political nature, or other such found to be sensitive by CRYPTO CREW that may be offensive or objectionable to other users of the Site and Services offered by CRYPTO CREW.
- Not to use the Site in any manner that is, or could reasonably be construed to be, unlawful, including, without limitation, in violation of any law, rule or regulation related to securities or investments, or any rules or regulations promulgated by the U.S. Securities and Exchange Commission, and/or rules of any national or other securities exchange and any regulations or other pronouncements having the force of law;
- Not to use the Site in any manner that is, or could reasonably be construed to be, in violation of these Terms and Conditions, fraudulent, misleading, malicious or discriminatory;
- Not to take any action that could disable, overburden, or impair the operation or availability of the Site, such as a denial of service attack;
- Not to engage in manipulative practices designed to obfuscate the true intent of your submissions to the Site, or to artificially generate traffic to another website;
- Not to facilitate or encourage any violations of these Terms and Conditions;
- Not to post or make any defamatory, disparaging or false statements, claims or allegations related to the Site, CRYPTO CREW, its officers, contractors, and/or employees, or any other product or service offered by CRYPTO CREW;
- Not to make your account or any portion thereof or the services provided thereby available to the general public or any portion thereof;
- Not to issue chargeback disputes against CRYPTO CREW.
- Not to use patented, copyrighted, trademarked or other protected intellectual property without the written consent and authorization of the owner of such property;
- Not to copy, distribute or disseminate the Site or any portion thereof, and not to transfer the Site, or any portion thereof, to another person or “mirror” the Site, or any portion thereof, on any other server;
- Not to decompile or reverse engineer, or attempt to decompile or reverse engineer, the Site or any portion thereof; and
- Not to take any other action that could result in any damage or disruption to the Site, or that could otherwise result in any liability, damages, costs or expenses on the part of CRYPTO CREW.
- Not to share personal information with members or request personal information from members.
Your failure to abide by these Terms and Conditions may result in termination of email support by CRYPTO CREW, your immediate removal from the Site and cancellation of all services provided by CRYPTO CREW. This includes blocking you from the Site and all forms of social media accounts held and operated by CRYPTO CREW. This also includes your removal from all active and future classes, as well as your removal from all list of students who may have earned free bonus classes from CRYPTO CREW.
- FOR EDUCATIONAL PURPOSES ONLY; NO INVESTMENT ADVICE PROVIDED

- NO FIDUCIARY DUTY
Your use of the Site and CRYPTO CREW’s educational services does not create or impose any fiduciary duty on CRYPTO CREW to you, and this Agreement is not intended to, and does not, create or impose any fiduciary duty on CRYPTO CREW. As such, to the fullest extent permitted by applicable law and not withstanding any other provision of this agreement, you and CRYPTO CREW agree that no fiduciary duty is placed on CRYPTO CREW by your use of the Site and the services offered by CRYPTO CREW.
- NO ACADEMIC CREDIT
CRYPTO CREW is not an accredited educational institution. Your participation in, or completion of, any Course does not confer any academic credit. Nothing in these Terms or otherwise through the Services offered by CRYPTO CREW or on our Site, enrolls you in any educational institution or in any course offered by any such institution.
Portions of the CRYPTO CREW Site may be made available only to persons who have registered and who have been issued a username and/or password or other positive identifiers by CRYPTO CREW (“Registered Users”). Only Registered Users are authorized to access the restricted portions of the Site. Your use of the Site and access to the Information contained therein is expressly conditioned upon your agreement that all such access and use shall be governed by all of the terms and conditions set forth in these Terms and Conditions. In addition, access to certain areas of the Site may also be governed by other terms and conditions. In the event of a conflict between these Terms and Conditions and those necessary to access restricted portions of the Site, the terms and conditions governing the restricted portions of the Site will govern your access to such areas and any transactions conducted while in such restricted areas, and these Terms and Conditions will apply where there is not a conflicting provision.

By registering for the Site and by purchasing and using the Services offered by CRYPTO CREW, CRYPTO CREW grants you a limited revocable, non-transferable license to use the Site and the services offered by CRYPTO CREW. This license is solely for your own personal use, only for the purposes set forth on the Site. This limited license is freely revocable and may be terminated by CRYPTO CREW at any time and without cause and in the sole discretion of CRYPTO CREW. This License shall automatically be revoked and terminated upon any violation of these Terms and Conditions or any other rule, regulation or policy of CRYPTO CREW. Upon termination of this license, you agree that you shall destroy any materials (electronic or otherwise) related to the Site that remain in your possession or control, and acknowledge that after such revocation or termination CRYTO CREW may deny your access to the Site and any other CRYPTO CREW content, materials or services in its sole discretion.
- RESTRICTIONS
Notwithstanding the foregoing license grant, you may not resell, redistribute, broadcast or transfer the Information or use the Information in a searchable, machine-readable database or file except through authorized access to the Site. Unless separately and specifically authorized in writing by CRYPTO CREW, you may not rent, lease, sublicense, distribute, transfer, copy, reproduce, publicly display, publish, adapt, modify, create derivative works, store or time-share the Site, any part thereof, or any of the Information received or accessed therefrom to or through any other person or entity. Access to the Site without the authorization of CRYPTO CREW is strictly prohibited. - CANCELLATION AND REFUNDS
You may not cancel your purchase once the payment has been processed and all sales are final. All payments referred to herein shall not be refundable under any circumstances.
- THIRD PARTY LINKS
The Site may contain links to other websites. These links are provided for informational purposes only, and CRYPTO CREW does not sponsor or affiliate with any linked entity unless expressly stated. CRYPTO CREW makes no representations and assumes no responsibility for your use of links provided on the Site. You agree to indemnify and hold CRYPTO CREW and any of its related entities, board members, employees, agents and representatives harmless from and against, and shall reimburse CRYPTO CREW for any liability, damage, claim, loss, cost or expense (including, without limitation, court costs and reasonable attorneys’ fees) which may be incurred by CRYPTO CREW as a result of the material you link, upload, post, or transmit to the Site. CRYPTO CREW has no duty to review or edit materials submitted by users. Any such materials may be removed by CRYPTO CREW at any time for any reason whatsoever.

- PASSWORD DISCLOSURE
You are prohibited from sharing your username and/or password with any other person, and you are responsible for ensuring that you do not take any actions — or fail to take any actions — that could result in their unauthorized access and use of the Site or the services offered by CRYPTO CREW. If, at any time, you are issued a username and/or password or other positive identifiers of the user issued and authorized by CRYPTO CREW and you learn or suspect that such identifiers have been disclosed or otherwise made known to any person other than yourself, you agree to immediately change your password to prevent unauthorized access to your account.
You are responsible for any and all information provided and any and all orders, acts and/or omissions that occur while User Codes are being used, in each case, whether by you or a third party. We are not responsible for any breach of security caused by your failure to maintain the confidentiality and security of any of the User Codes. You agree to notify us immediately in the event of loss, theft or disclosure of any or all of the User Codes, if you believe the confidentiality or security of any or all of the User Codes has been compromised in any way or in the event of your learning about a possible or actual unauthorized access to and/or use of the Site or the services offered by CRYPTO CREW. You are limited to one User Code. Duplicate User Codes may be revoked. We reserve the right to revoke or modify the User Codes at any time with or without prior notice.

If you participate in or use any Interactive Area, you are responsible for your own communications and the consequences of posting your communications. If you choose to post material using such Interactive Areas, you agree to do so solely for lawful purposes and in compliance with all applicable laws. You expressly agree that we have no responsibility for or control over the content you may post on or using these Interactive Areas. We make no representation that your use of the Interactive Areas will comply with applicable laws or that they were designed to comply with the applicable laws. You also agree not to assist children under the age of 18 in accessing the CRYPTO CREW Site.
- CHOICE OF LAW AND JURISDICTION
These Terms and Conditions and any claim, controversy, or dispute arising out of or relating to the Terms and Conditions or you use of the CRYPTO CREW site shall be governed by and construed in accordance with the laws of the State of Idaho, without reference to any conflict of law principles. Further, any such claim or cause of action shall be brought exclusively in the state or federal courts located in New York, New York and you irrevocably agree to submit to the exclusive personal jurisdiction of such courts and hereby appoint the Secretary of State of New York as your agent for service of process. You agree to waive any objection that the state or federal courts of New York, New York are an inconvenient forum.
- DISCLAIMER OF WARRANTIES

Under these Terms and Conditions, you assume all risk of errors and/or omissions in the CRYPTO CREW Site and Information, including the transmission or translation of Information. YOU HEREBY ASSUME ALL RESPONSIBILITY (AND THEREBY HOLD CRYPTO CREW HARMLESS), BY WHATEVER MEANS YOU DEEM MOST APPROPRIATE FOR YOUR NEEDS, FOR DETECTING AND ERADICATING ANY VIRUS OR PROGRAM WITH A SIMILAR FUNCTION.
- LIMITATION OF LIABILITY
IN NO EVENT SHALL CRYPTO CREW OR ITS EMPLOYEES, AGENTS, LICENSORS OR CONTRACTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR MULTIPLE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, REVENUES, OR OTHER ECONOMIC LOSSES WHETHER DEEMED DIRECT OR CONSEQUENTIAL AND REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER SUCH DAMAGES WERE REASONABLY FORESEEABLE. IN NO EVENT SHALL OUR LIABILITY FOR ANY DAMAGES, REGARDLESS OF KIND OR TYPE, TO YOU OR ANY OTHER PERSON, EXCEED $250.00.
- LIMITATION OF CLAIMS
Any action on any claim against CRYPTO CREW must be brought by the user within one (1) year following the date the claim first accrued, or shall be deemed waived.
- SEVERABILITY
Whenever possible, each provision of these Terms and Conditions shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of these Terms and Conditions shall be prohibited or invalid under applicable law, such provision shall be ineffective to the extent of such prohibition or invalidity without invalidating the remainder of such provision or the remaining provisions of these Terms and Conditions. Any unenforceable provision will be replaced by a mutually acceptable provision which comes closest to the intention of the parties at the time the original provision was agreed upon.
- INDEMNIFICATION
You agree to defend, indemnify, and hold CRYPTO CREW and its employees, agents, licensors or contractors harmless from and against all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, costs and expenses (including but not limited to reasonable attorney’s fees and costs), whether or not involving a third party claim, which arise out of or relate to your use of the Site or the services offered by CRYPTO CREW, including without limitation, your violation of these Terms and Conditions, in each case whether or not caused by the negligence of CRYPTO CREW or its employees, agents, licensors or contractors and whether or not the relevant claim has merit.
In the event that any third party claim is brought, CRYPTO CREW has the right and option to, at its own expense, undertake the defense and control of such action with counsel of its choice. If CRYPTO CREW exercised this option, you agree to cooperate with it in asserting any available defenses.

The Site and Information is the valuable, exclusive property of CRYPTO CREW or its licensors and nothing in these Terms and Conditions shall be construed as transferring or assigning any such ownership rights to you or any other person or entity. Except as expressly permitted in these Terms and Conditions, you may not copy, adapt, distribute, commercially exploit, or publicly display the Information or any portion thereof in any manner whatsoever without CRYPTO CREW’s prior written consent. You may not remove, alter or obscure any copyright, legal or proprietary notices in or on any portions of the Information. CRYPTO CREW, and its associated logos, and all page headers, custom graphics, buttons, and other icons are service marks, trademarks, registered service marks, or registered trademarks of CRYPTO CREW, Inc. All other product names and company logos mentioned on the Site or Information are trademarks of their respective owners.
- COURSE OWNERSHIP
We and our licensors own all right, title and interest in and to the Course(s) and related materials. We and/or third party licensors either own or have all necessary rights in and to the content contained in any Course (e.g., lectures, video lessons, quizzes, presentation materials, assignments, images, text, displays, documents, audio and/or video clips, HTML, etc.). The foregoing includes any and all copyrights, trademarks, or other proprietary rights under applicable law. Nothing contained in this TOU or in any Course conveys to you any ownership or other proprietary right except as otherwise set forth herein.
- PROPRIETARY RIGHTS
The Crypto Crew Site and its content are protected by copyright, trademark and other proprietary laws. Any Crypto Crew logos and/or trademarks that appear in any Course are our property and may not be used without our express written consent. All other trademarks, service marks and logos used in connection with any Course, with or without attribution, are the trademarks, services, or logos of their respective owners and may not be used without their express written consent.
23. YOUR REPRESENTATIONS AND WARRANTIES
You hereby represent and warrant that:
(A) you are the person to whom the User Codes you used to access the Site and the services offered by CRYPTO CREW were issued by us and the information you provided to us in connection with the issuance of the User Codes, if any, was and is true, accurate, current and complete;
(B) if you are accessing the Site or the services offered by CRYPTO CREW on behalf of the company or organization to whom the User Codes you used to access the Site or the services offered by CRYPTO CREW were issued by us, you are duly authorized by all necessary action and have all consents, rights and authority to execute these Terms and Conditions on behalf of yourself and your principals and the company or organization on whose behalf we grant you access to the Site or the services offered by CRYPTO CREW;
(C) you will not reverse engineer, de-compile or reverse compile any of our technology;
(D) unless we expressly authorize you to do so in writing, you will not use, reproduce, duplicate, copy, sell, resell, distribute, publish or exploit for any commercial purposes any portion of the Site or the services offered by CRYPTO CREW;
(E) you will access and use the Site or the services offered by CRYPTO CREW in compliance with any and all applicable law(s), rules(s) or regulation(s) (whether in the United States or other countries) and the terms and conditions of these Terms and Conditions;
(F) if we grant you access to the Site or the services offered by CRYPTO CREW in your individual capacity, you are at least 18 years of age; and
(G) you have all consents, rights and authority to provide and submit any and all information and content provided and submitted by you or using User Codes to or otherwise using the Site or the services offered by CRYPTO CREW and all such information and content (1) are true, accurate, current and complete and we may rely on such information and content; (2) are not libelous, defamatory, indecent, obscene, harassing, hateful or violent; (3) are not meant to harm CRYTO CREW or any third party; (4) do not constitute or include viruses or other harmful codes; (5) as well as their anticipated uses, do not violate, infringe or misappropriate any copyright, patent, trademark or other proprietary rights, or right of publicity or privacy of CRYPTO CREW or any third party; and (6) do not violate these Terms and Conditions, or any applicable law, rule or regulation (whether of the United States or other countries).
- PAYMENT
Each Course, bundle of Courses, or subscription package (the “Online Course Offering”) is offered for certain price as listed on the relevant landing page. All fees are in U.S. dollars. Prices are subject to change without prior notice and at the discretion of CRYPTO CREW. To purchase an Online Course Offering you must provide one or more Payment Methods. You represent and warrant that you are authorized to use any and all Payment Method(s) you use to purchase an Online Course Offering. You agree to pay for all Crypto Crew products and services that you purchase, and agree that we may charge your selected payment method through our third party payment processor for any such payments. If your payment method fails, we may collect fees owed or use other collection methods. We may also suspend or terminate your access to our Services. For some Payment Methods, the issuer may also charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Check with your provider for details. “Payment Method” means a current, valid, accepted method of payment as may be updated from time to time and which may include payment through your account with a third party).
We use a secure third-party payment processor(s) for the Online Course Offering. These payment processors accept payment methods as detailed on the payment page. Information that you supply to our payment processors is not stored or controlled by us and is subject to the third-party payment processors’ privacy policy and terms and conditions. To the extent allowed under applicable law, we disclaim all liability with regard to any problems you have with any third-party payment processors.
- TAXES
Taxes. If you elect to access or use Services that involve payment of a fee, then you agree to pay that fee and all taxes associated with such access or use, including, if applicable, any sales tax Crypto Crew believes in good faith that it is required to collect Crypto Crew may collect taxes (e.g., sales tax or VAT) on any transaction where it reasonably believes that tax collection is required. Where Crypto Crew believes in good faith that VAT collection is required for any Course, VAT will be calculated and added once your billing information is provided. You will indemnify and hold Crypto Crew harmless against any and all claims by any tax authority for any underpayment of VAT, and any penalties and/or interest thereon. Crypto Crew is unable to provide you with tax advice and you should consult your own tax advisor.
- COMPLIANCE WITH LAWS
You agree to comply with all applicable laws in connection with your purchasing and/or viewing of any Course. Further, access to our Courses from certain territories is prohibited. You agree that you will not violate any data export laws in connection with your purchase and/or viewing of the Courses if you reside outside the United States.
- MODIFICATION AND/OR TERMINATION OF COURSES
We reserve the right to at any time, modify or discontinue, temporarily or permanently any one of the Courses or the Crypto Crew Academy in whole or part. You agree that we are not liable to you or any third party for any such modifications, suspension, or termination of any or all Courses. Nothing in these Terms and Conditions shall be construed to obligate us to maintain and/or support any of the online Course services, in whole or part, during the term of these Terms and Conditions or thereafter.
- COMMUNICATIONS
When you visit our Site, use any of our Services, or send us an email, you expressly indicate your consent to electronically receive any and all communications, notices, and our disclosures that we may provide in connection with your use of the Site and/or Services, including, without limitation, e-mail, in-app, and in-website chat communications. All agreements, notices and communications that we provide to you by email will satisfy all legal requirements that they be in writing and delivered to you. Any such notices may also include emails with promotional, marketing, and advertising information and recommendations that we believe may be of interest to you, in accordance with applicable law. Consistent with federal CAN-SPAM or anti-spam laws, if you do not wish to receive commercial emails, you may unsubscribe following the instructions on any email, excepting that we may still send you administrative and transactional notices, including, without limitation, information about your Account, confirmation of your registration for Courses, information about your progress, or other services that may be necessary to provide you with any one of the Services.
- FEEDBACK
We welcome all feedback, ideas, inventions, materials, and suggestions (“Feedback”) from our Users regarding our Services. You understand and agree that Crypto Crew does not waive any rights to use similar and/or related Feedback previously or contemporaneously known to it, whether developed by its employees, contractors, obtained from other sources, or submitted by other Users. Further, by submitting any Feedback, you grant us the right to use the Feedback without any restrictions on the use of such Feedback or any compensation to you.
- ENTIRE AGREEMENT
These Terms and Conditions constitute the entire agreement between you and CRYPTO CREW. This agreement may not be modified except by CRYPTO CREW.
